Katteli Inc. (“Katteli,” “we,” “us,” or “our”)

1. Agreement

By creating an account, accepting these terms, completing a purchase, or using TestFlows™ Machine websites, APIs, clients, or related services (the “Services”), you (“Customer,” “you”) agree to these Terms of Service (the “Terms”), the Acceptable Use Policy, the Privacy Policy, and the Usage Credit Terms (together, the “Agreement”).

If you accept for an organization, you represent that you have authority to bind it. If you do not agree, do not use the Services.

You confirm that you are receiving the Services for a business activity and not for any personal, household, or family purpose.

2. The Services

TestFlows™ Machine provides a deterministic execution environment for software testing and related engineering workflows. Subject to the Agreement and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right to use the Services for your internal business purposes during your account term.

We may modify, suspend, or discontinue features (including Free-tier allowances) with reasonable notice when practicable. Preview or beta features are provided as-is and may change or end without notice. We do not provide legal, financial, or other professional advice; workload outputs are yours.

3. Accounts

You must provide a valid email and keep account information accurate. You must be at least 18 (or the age of majority where you live). You are responsible for all activity under your account and for safeguarding credentials. Notify us promptly of unauthorized use. You may not create accounts to evade suspension, billing, Free-tier limits, or the Acceptable Use Policy. Abuse of our staff may result in immediate suspension or termination.

4. Customer Content

“Customer Content” means software, data, and other materials you upload, store, or run on the Services (including inside virtual machines, disk images, and volumes). You retain ownership of Customer Content. You grant Katteli a limited license to host, copy, transmit, and process it solely as needed to provide, secure, troubleshoot, and improve the Services, and to comply with law.

You choose what Customer Content to place on the Services. You are responsible for that content (including software and secrets in images), for protecting sensitive material before upload where appropriate, for credentials inside your workloads, for backups you need, and for compliance with law and the Acceptable Use Policy. Do not place Customer Content on the Services if unauthorized disclosure would be unacceptable to you unless you accept that residual risk.

Customer Content is stored and processed on infrastructure we or our providers operate. We do not routinely access VM contents, but may access systems or metadata for security, abuse investigation, support you request, legal process, or platform operation. We are not obligated to back up Customer Content. Absolute confidentiality or security of Customer Content is not guaranteed. Unauthorized access to, disclosure of, alteration of, or loss of Customer Content is subject to Sections 10 and 11.

If you give us feedback, you grant Katteli a perpetual, irrevocable, worldwide, royalty-free license to use it without restriction or attribution.

5. Fees and payments

Prices, plans, Included Credits, and limits are shown in the product catalog and account UI. We may change prices prospectively. For increases that apply to an existing paid subscription, we will give at least thirty (30) days’ notice to your account email where practicable.

Prepaid Usage Credits and plan Included Credits are governed by the Usage Credit Terms. Credits are a service allowance only, not cash or currency.

Paid subscriptions renew automatically at the then-current price until you cancel. IF YOU SUBSCRIBE, YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW UNTIL YOU CANCEL. Cancel through the billing portal (or another method we provide) before renewal. Cancellation takes effect at the end of the then-current paid period unless we say otherwise.

For purchases through Stripe Checkout with Managed Payments, Stripe (via Link) is merchant of record for the payment. You authorize charges to your selected payment method, including applicable taxes. Katteli remains the provider of the Services. Payment receipts and payment support may come from Stripe/Link; product support remains with Katteli.

Fees are exclusive of taxes unless stated otherwise. You are responsible for taxes on your purchases except taxes on Katteli’s net income.

Purchases are final except where required by law or authorized by Katteli or the merchant of record. Partial refunds of Usage Credit packs are not available. After a refund, chargeback, or reversal, we may remove associated Credits and suspend service if the balance is insufficient. We may suspend or limit the Services for non-payment, failed payment, or chargeback. Free allowances, if any, are discretionary and may change or end.

6. Acceptable use

You must comply with the Acceptable Use Policy.

7. Intellectual property

The Services, software, branding, and documentation are owned by Katteli and its licensors. Except for the rights in Section 2, no rights are granted. You will not reverse engineer or create derivative works of the Services except where that restriction is prohibited by law. Open-source components are governed by their licenses.

Send copyright infringement notices to legal@testflows.com, identifying the copyrighted work, the allegedly infringing material and where it is located, your contact information, and a good-faith statement. We handle valid notices under Canada’s Copyright Act (notice-and-notice) and other applicable law.

8. Confidentiality

Each party may receive non-public information from the other that is marked or reasonably understood to be confidential. The receiving party will use it only to perform under this Agreement and protect it with reasonable care, except for information that is public through no fault of the receiver, independently developed, or rightfully received without a duty of confidentiality. Disclosure may be made if required by law, with prior notice where legally permitted. Aggregated, de-identified usage data about the Services is not your confidential information. Customer Content is governed by Sections 4 and 9, not this Section 8; this Section does not expand our obligations or liability for Customer Content beyond Sections 10 and 11.

9. Privacy and security

Personal data is handled as described in the Privacy Policy. We use commercially reasonable security measures appropriate to the Services. No method of transmission or storage is completely secure, and we do not guarantee that Customer Content will remain confidential or free from unauthorized access or disclosure. 10. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE, THAT CUSTOMER CONTENT WILL REMAIN CONFIDENTIAL OR FREE FROM UNAUTHORIZED ACCESS OR DISCLOSURE, OR THAT ANY WORKLOAD OUTCOME WILL MEET YOUR REQUIREMENTS. YOU USE THE SERVICES AT YOUR OWN RISK.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KATTELI AND ITS AFFILIATES, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA (INCLUDING CUSTOMER CONTENT), OR BUSINESS, OR FOR UNAUTHORIZED ACCESS TO OR DISCLOSURE OF CUSTOMER CONTENT, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KATTELI’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE AGREEMENT WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO KATTELI (OR THE MERCHANT OF RECORD FOR THE SERVICES) FOR THE SERVICES IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED EUROS (€100) IF YOU HAVE PAID NOTHING.

THESE LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

Your sole and exclusive remedy for dissatisfaction with the Services is to stop using them and, where required by law or authorized by us or the merchant of record, a refund subject to the Usage Credit Terms. Any claim arising out of or related to the Agreement must be filed within six (6) months after the claim arose, or it is permanently barred, to the maximum extent permitted by law.

12. Indemnification

You will defend, indemnify, and hold harmless Katteli and its officers, directors, employees, and agents from claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) Customer Content; (b) your use of the Services in violation of the Agreement or law; (c) your workloads or end users; or (d) infringement or misappropriation alleged from Customer Content or your combination of the Services with materials not provided by Katteli.

13. Term and termination

These Terms apply from your first use until your account is closed or the Agreement is terminated. You may stop using the Services and request closure through the Services or by contacting support@testflows.com. Cancel active subscriptions in the billing portal so renewals stop. Unused Credits are forfeited on closure under the Usage Credit Terms.

We may suspend or terminate access immediately if you breach the Agreement, if required by law, if your use creates security or operational risk, or if fees are unpaid. Where reasonably practicable for non-abuse cases, we will give notice.

On termination, your license ends. Sections that by nature should survive (including fees, IP, confidentiality, disclaimers, liability, indemnity, export, and general terms) survive. We may delete or disable Customer Content per our retention practices and the Privacy Policy. Export any data you need before closure.

14. Export

You represent that you are not located in, and will not use the Services from, an embargoed country or region, and that you are not a denied or restricted party under applicable export or sanctions laws. You will not use the Services in violation of those laws.

15. Changes

We may update these Terms by posting a revised version and changing the “Last updated” date. Material changes will be notified by email to your account address and/or by posting on the Services. Continued use after the effective date constitutes acceptance where permitted by law. If you do not agree, stop using the Services and cancel any paid plan.

16. General

Governing law. These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. The parties submit to the exclusive jurisdiction of the courts of the Province of Ontario. The UN Convention on Contracts for the International Sale of Goods does not apply.

Entire agreement. The Agreement is the entire agreement regarding the Services. You acknowledge that you have not relied on any representation not stated in the Agreement. A signed order or enterprise agreement controls over these Terms if there is a conflict. These Terms control over policies, except that the Acceptable Use Policy and Usage Credit Terms control for their subject matter, and the Privacy Policy controls for personal-data practices.

Other. If a provision is unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in a merger, acquisition, or sale of assets. Neither party is liable for delay due to events beyond reasonable control (except payment obligations). The parties are independent contractors. We may notify you via the Services or your account email. You may notify us at legal@testflows.com, or abuse@testflows.com for abuse. Third-party services (including Stripe) are governed by their own terms; we are not responsible for services we do not control. We may identify you as a customer by name and logo unless you opt out by emailing legal@testflows.com. If these Terms are translated, the English version controls to the extent permitted by law.
